Two Words
Intergrated Graphics.

You got an Almost $400 CPU but didn't get a video card... *looks puzzled*

Go spend $85 on a Gefroce 7300 like this one
http://www.newegg.com/Product/Product.asp?Item=N82E16814130003

And you should stop having issues aswell as seeing your frame rates increase a lot.

I am pretty sure its a graphics card issue.

You don't have a Graphics Card. You have the Intergrated Graphics on the motherboard, geforce 6100 & 6150 are intergrated cores and SL has issues with intergrated cores. Intel GMA 900/950, Intel Extreme Graphics, ATI Xpress 200, etc all have issues.

I was thinking there is one other possiblity.

How well ventilated is your computer? There is a chance its over heating. Not a big one but its there.

well im sure its not over heating .. it like the cold air is sucked in the front of the case and the heat of it is faned out in the back of the comp ..

Ya it sounds pretty well ventalated.

*snaps his claw* Have an idea, have you updated to the latest drivers?

Motherboard Drivers
http://www.nvidia.com/object/nforce_nf4_430_410_winxp32_8.22.html

Video Drivers
http://www.nvidia.com/object/winxp_2k_81.98.html

Its possible there is an issue there, also you might want to make sure your directX is uptodate

http://www.microsoft.com/windows/directx/default.aspx

Just some things to try.

Well, he did buy a packaged system. And what he bought was a Media Center PC; for that application, the configuration actually makes sense. Accelerated 3D doesn't buy you a whole lot for watching TV and DVDs, and the integrated video generates less heat and is quieter.

But everybody here is right -- you could improve your SL performance a LOT by adding a separate video card to that system. NVidia 6800 cards have come down in price a lot; the slowest version (the 6800XT) can be had for $100 now, and is probably a better buy than the 7300 unless you need a silent card. If you've got more money to spend, it's hard to beat the NVidia 7800GT at $300.

These cards do all have fans though, and will make your Media Center system louder, wihch might be an issue for you. If you really want a no-fan card, your options are more limited and lower in performance, though you can probably still improve considerably on the integrated graphics.

It has to be a card issue. You might try a GT6600 card. The are not bad and they cheap now due to the newer releases. I have a SLI MB and i only run one card. The 4200 is a great cpu! and speeds unreal! But you need a card to keep up with it.
